| At Clarke Henning, we're justifiably proud of our excellent and long-standing
reputation as accountants and auditors. However, these are only two of the many areas

| Clarke Henning was founded in 1915 by John Clarke and has grown to become one of the
largest and most progressive regional firms serving central and southern Ontario. Today,
our firm has 10 partners and approximately 40 professional staff serving clients in the
Toronto area and throughout southern and central Ontario from our five satellite offices. Together, we provide a full range of accounting, auditing and taxation services; serve as credit and insolvency consultants, bankruptcy trustees and receivers and managers for Canadian chartered banks and other secured creditors. We also provide comprehensive management consulting, including human resource development, financial planning, and information and computer consulting, training and services. Our clients consist of privately-owned companies covering the spectrum of business from manufacturing and distribution to service industries. They also include a number of health care organizations, trade associations and other not-for-profit organizations. Our management style is characterized by a "hands on" approach and each of the firm's partners is very involved in the day-to-day business of his or her clients. It is a source of great pride to us that we count among our present clientele many businesses that have been with us since the inception of our firm. In 1978, Clarke Henning became a founding member of Polaris IA International, which now has member firms in over 170 cities in 90 countries around the world. This affiliation allows us to offer our clients global expertise as they expand outside southern Ontario, as well as provide assistance to other affiliation members whose clients require services in Canada. Our new, modern head office Waterpark Place at the foot of Bay Street, overlooks Toronto's dynamic waterfront. Conveniently located near both the Gardiner Expressway and the Don Valley Parkway, our offices are within walking distance of both Union Station and Harbourfront, with the Harbourfront LRT stopping at the door.
